These Terms of Service ("Terms") govern your access to and use of the website at themovieversion.com and any subdomains, related URLs, services, content, and tools (collectively, the "Site") operated by <span class="ph">to be finalized</span> ("Operator," "we," "us," or "our"). By accessing the Site, creating an account, submitting an audition, subscribing to the Inside Seat, or otherwise using any of the Site's features, you ("you" or "User") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, do not use the Site.
<span class="ph">to be finalized</span>. The first title produced under The Movie Version banner is Pretty Woman, Told Again, a new work of commentary and adaptation building on the Cinderella tradition and other public-domain narrative elements.You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater) to use the Site, submit an Audition, subscribe to the Inside Seat, or acquire a Share. By using the Site, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
The Site provides: (a) editorial information about The Movie Version and its productions; (b) the ability to subscribe to the Inside Seat membership; (c) routing to third-party platforms operated by others for purposes of submitting Auditions (AWWDITIONS) or acquiring Shares (SHARE by FORMLESS); and (d) limited information and education about productions in development.
The Site itself does not transact Audition fees or Share purchases. Those transactions occur on third-party platforms subject to their own terms of service, privacy policies, and agreements between you and those platforms.
** 5.1 Subscription Terms.** By providing your email and submitting the Inside Seat form, you consent to receive periodic communications from us about The Movie Version. Paid Inside Seat membership, if and when activated, is <span class="ph">to be finalized</span> per month and renews automatically each month until canceled.
** 5.2 Auto-Renewal Notice (required by California, New York, and other state laws).** Your Inside Seat membership will automatically renew at the end of each billing period and your payment method will be charged the then-current monthly rate, unless you cancel at least <span class="ph">to be finalized</span> before the end of the current billing period. You may cancel at any time by <span class="ph">to be finalized</span>. Cancellation will take effect at the end of the then-current billing period.
5.3 No Guarantee of Content. Inside Seat membership entitles you to communications and access as described on the Site at the time of subscription. Operator may modify the content and features of the Inside Seat at its discretion.
5.4 Refunds. <span class="ph">to be finalized</span>.
6.1 Audition Fee. The standard Audition fee is $10 per submission. Bad Kids Klass members pay $1 per Audition. All Audition fees are processed on AWWDITIONS or other third-party platforms.
6.2 No Guarantee of Casting. Payment of an Audition fee does not entitle you to be cast, considered beyond the time required to evaluate your submission, employed by Operator, or compensated by Operator. Casting decisions are at the sole discretion of Operator and its production partners.
6.3 Hold-Over for Future Productions. If you are not cast for the specific production you submitted for, your Audition may, at Operator's discretion, be considered for future productions for <span class="ph">to be finalized</span>. You may withdraw your Audition at any time by emailing <span class="ph">to be finalized</span>.
** 6.4 Limited Name, Image, and Likeness Grant. By submitting an Audition, you grant Operator a limited, royalty-free, non-exclusive, worldwide license to use your name, voice, image, likeness, performance, and submitted materials solely for the purpose of marketing The Movie Version productions and the Audition program**. This license is limited as follows:
<span class="ph">to be finalized</span> after submission, unless you are cast, in which case separately negotiated terms apply.6.5 Audition Ticket Benefit. Your Audition fee includes admission to attend the production you auditioned for, subject to availability and other conditions disclosed at the time of casting.
7.1 Nature of Shares. Each Compilation produced under The Movie Version banner is structured as a separate offering. A "Share" in a Compilation represents <span class="ph">to be finalized</span>, as further described in the offering documents made available by SHARE by FORMLESS at the time of transaction.
7.2 Share Mechanics. Each Compilation is divided into four hundred (400) Shares. Each Share is offered at $10. The aggregate offering of Shares for each Compilation represents forty percent (40%) of the Compilation's <span class="ph">to be finalized</span>. The remaining sixty percent (60%) is retained by Operator and its production partners.
** 7.3 NOT A SECURITIES OFFERING (recommended characterization). <span class="ph">to be finalized</span> In any case, no language on the Site or in any communication may state or imply that purchasing a Share is an investment, will yield returns, or carries the rights of a security under federal or state securities laws.**
7.4 Album Inclusion. Each Share includes a digital copy of the corresponding Compilation album, delivered at no additional cost upon release.
7.5 Share Transfer. Shares may be transferable subject to the terms of the underlying Share Agreement and SHARE by FORMLESS platform terms.
7.6 Risk Disclosure. Acquiring a Share involves risk, including the risk that the Compilation will not be commercially successful and that the value of your Share may decline to zero. You acknowledge that you have read the offering documents before completing any transaction and that you are not relying on any statement made on the Site.
8.1 Submissions. Any content you submit through the Site or through linked Audition platforms ("User Content") remains your property, except for the licenses granted in these Terms (Section 6.4) and any separately executed agreement.
8.2 Representations. You represent and warrant that: (a) you own or have all necessary rights to your User Content; (b) your User Content does not infringe any third party's intellectual property, privacy, publicity, or other rights; (c) your User Content complies with all applicable laws.
8.3 Removal. Operator may remove any User Content at its discretion without notice.
9.1 Operator's IP. All content on the Site that is not User Content — including the name "The Movie Version," the editorial copy, the design, the production board, the names and depictions of original characters created by Operator, photographs, and other creative materials — is owned by Operator or its licensors and is protected by copyright, trademark, and other laws.
9.1.1 Original Characters and the Keystone of the Universe. The Movie Version introduces original characters created by Operator and owned outright. The keystone character — the original protagonist whose arc serves as the doorway into the larger universe of Movie Version productions and the catalog of works built around it — is an original creation of Operator. No prior work and no other rights holder retains any interest in this character or in her arc. Productions of The Movie Version reference and engage with public-domain narrative traditions (including Cinderella) and the cultural phenomenon of prior works in commentary and transformation, but do not appropriate, depict, or claim ownership of any character owned by a third party.
** 9.2 Public Domain Elements and Commentary. The Movie Version, including the work titled Pretty Woman, Told Again, is a new creative work that draws on public-domain narrative material (including the Cinderella tale and other long-existing cultural narratives) and engages in commentary, criticism, and transformative reimagining of cultural touchstones. The Movie Version is not affiliated with, endorsed by, or sponsored by Touchstone Pictures, The Walt Disney Company, or any rights holder in the 1990 motion picture "Pretty Woman" or any other prior work referenced.** No use of the Site or any production should be understood as a claim of association with those rights holders.
9.3 Restrictions. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the Operator's content without prior written consent, except as permitted by these Terms.
10.1 Bad Kids Klass is operated by Malik Yusef independently of Operator. Malik Yusef serves as an Ambassador to The Movie Version, bringing his industry experience and the BKK pool of artists to the project, but is not a partner, member, or equity holder in Operator. BKK member pricing benefits on the Site (such as the $1 Audition fee) are made available to verified BKK members through arrangement with Malik Yusef.
Your use of the Site is subject to our Privacy Policy, available at <span class="ph">to be finalized</span>. The Privacy Policy describes what personal information we collect, how we use it, who we share it with, and your rights regarding your data.
12.1 Third-Party Processors. All payments are processed by third-party services. You agree to be bound by their terms.
12.2 Currency. All amounts are in U.S. Dollars unless otherwise stated.
12.3 Taxes. You are responsible for any applicable taxes on transactions.
You agree not to: (a) use the Site for any unlawful purpose; (b) impersonate any person or entity; (c) attempt to gain unauthorized access to any portion of the Site; (d) submit User Content that is fraudulent, defamatory, infringing, or otherwise unlawful; (e) use any automated means to access the Site or scrape its content; (f) interfere with the Site's operation.
The Site links to and integrates with third-party services including AWWDITIONS, SHARE by FORMLESS, and others. Operator has no control over these services and is not responsible for their content, terms, or practices. Your interactions with them are governed by their own terms.
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OPERATOR DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
**** TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OPERATOR, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM OR RELATING TO YOUR USE OF THE SITE.
OPERATOR'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO OPERATOR IN THE PAST TWELVE (12) MONTHS, OR (B) ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Site, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third party's rights.
Operator may modify these Terms at any time by posting an updated version on the Site. Material changes will be communicated to Inside Seat subscribers by email. Your continued use of the Site after changes are posted constitutes your acceptance of the modified Terms.
Operator may terminate or suspend your access to the Site at any time, with or without cause, with or without notice. The provisions of these Terms that by their nature should survive termination will survive, including Sections 7 (Shares), 8 (User Content), 9 (IP), 15 (Disclaimer), 16 (Limitation of Liability), 17 (Indemnification), and 20 (Governing Law).
** 20.1 Governing Law.** These Terms are governed by the laws of <span class="ph">to be finalized</span> without regard to conflicts of laws principles.
** 20.2 Arbitration.** <span class="ph">to be finalized</span>
20.3 Exception for Injunctive Relief. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
21.1 Entire Agreement. These Terms, together with the Privacy Policy and any separately executed agreements (such as an Audition Submission Agreement or Share Subscription Agreement), constitute the entire agreement between you and Operator.
21.2 Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
21.3 No Waiver. Failure to enforce a provision is not a waiver.
21.4 Assignment. You may not assign these Terms. Operator may assign them freely.
